You are responsible for ensuring that your use of the Services complies with the laws applicable to your location.
1.5 Changes to the Services
REPTOR LLC continually improves and evolves the Services.
Accordingly, we may:

- Improve AI capabilities;

Unless otherwise required by applicable law, REPTOR LLC is not obligated to maintain any particular feature or functionality indefinitely.
1.6 Electronic Agreement
By accepting these Terms electronically, creating an Account, clicking an "I Agree," "Accept," "Continue," or similar button, or otherwise using the Services, you agree that your electronic acceptance has the same legal effect as a handwritten signature to the fullest extent permitted by applicable law.
You further agree that electronic records, communications, and agreements satisfy any legal requirement that such communications be in writing.

REPTOR LLC may revise these Terms periodically to reflect:

Parents and legal guardians who authorize a minor's use of the Services accept responsibility for:

REPTOR LLC makes no representation that the Services are appropriate or available in every jurisdiction.
Access from territories where the Services are prohibited is unauthorized.
2.4 Accurate Information
You agree to provide accurate, complete, and current information when:
- Creating an Account;
- Purchasing a subscription;
- Updating your profile;
- Contacting Customer Support;
- Participating in Community features;
- Using AI-powered features where requested information is necessary.
You agree to promptly update your information if it becomes inaccurate or outdated.
Providing false, misleading, or incomplete information may result in suspension or termination of your Account.
2.5 One Account Per User
Unless expressly authorized by REPTOR LLC, each individual may maintain only one personal Account.
You may not:
- Create multiple Accounts to circumvent platform rules;
- Create Accounts using false identities;
- Impersonate another person;
- Share Accounts with unauthorized users;
- Sell, transfer, or assign your Account without our prior written consent.
REPTOR LLC reserves the right to merge, suspend, or terminate duplicate or fraudulent Accounts.
2.6 Business and Organizational Use
If you access REPTOR OS on behalf of a company, employer, organization, sports team, educational institution, or other legal entity, you represent and warrant that:
- You have authority to bind that entity to these Terms;
- The entity agrees to be responsible for your use of the Services;
- All users accessing the Services through that entity will comply with these Terms.
The entity may also be responsible for payment obligations associated with its use of the Services.
2.7 Prohibited Users
You may not use REPTOR OS if:
- You have previously been suspended or permanently banned from the Services unless expressly authorized by REPTOR LLC;
- Your use would violate applicable law;
- You are subject to trade sanctions or other legal restrictions that prohibit REPTOR LLC from providing the Services;
- You attempt to use the Services for unlawful, fraudulent, or unauthorized purposes.
REPTOR LLC reserves the right to refuse access where required by law or where reasonably necessary to protect the platform, its users, or its business.
2.8 Health Considerations
REPTOR OS provides fitness, wellness, educational, and AI-assisted guidance. By using the Services, you acknowledge that physical activity involves inherent risks.
You represent that:
- You understand the physical nature of exercise;
- You are responsible for determining whether activities are appropriate for you;
- You will consult a qualified healthcare professional before beginning a new exercise or nutrition program if appropriate;
- You will discontinue any activity that causes pain, injury, or other health concerns and seek appropriate medical advice.
Nothing in these Terms should be interpreted as creating a physician-patient, trainer-client, dietitian-client, or other professional relationship.
2.9 Compliance with Laws
You agree to use REPTOR OS in compliance with:
- Applicable local laws;
- State laws;
- Federal laws;
- International laws where applicable;
- Export control regulations;
- Sanctions laws;
- Consumer protection laws;
- Privacy laws;
- Intellectual property laws.
You are solely responsible for ensuring that your use of the Services is lawful in your jurisdiction.
2.10 Ongoing Eligibility
Eligibility is an ongoing requirement.
If at any time you no longer satisfy the eligibility requirements described in these Terms, you must immediately discontinue use of the Services.
REPTOR LLC reserves the right to suspend, restrict, or terminate Accounts that no longer meet the eligibility requirements.
2.11 Verification
Where reasonably necessary, REPTOR LLC may request verification of information relating to eligibility, including:
- Age;
- Identity;
- Authority to act on behalf of an organization;
- Residency where relevant;
- Other information reasonably necessary to verify compliance with these Terms.
Failure to provide requested verification may result in delayed access, restricted functionality, suspension, or termination of the Account.
2.12 Reservation of Rights
REPTOR LLC reserves the right to determine, in its reasonable discretion and consistent with applicable law, whether a user satisfies the eligibility requirements for the Services.
Nothing in this section obligates REPTOR LLC to provide access to the Services where doing so would violate applicable law, create unreasonable risk, or conflict with these Terms.
By continuing to use REPTOR OS, you affirm that you meet the eligibility requirements set forth in this section and will promptly notify REPTOR LLC if any material change affects your eligibility.
3. Definitions
The following capitalized terms have the meanings set forth below whenever used in these Terms of Service, unless the context clearly indicates otherwise.
These definitions are intended to promote consistency and clarity throughout this Agreement.
3.1 "Account"
"Account" means the registered user profile created to access or use certain features of REPTOR OS.
An Account may include personal settings, subscription information, workout history, AI interactions, Community participation, rewards, and other information associated with a specific user.
3.2 "AI Services"
"AI Services" means the artificial intelligence-powered features, models, tools, assistants, recommendations, automation, and related technologies made available through REPTOR OS.
AI Services may include, without limitation:
- AI fitness coaching;
- Workout generation;
- Nutrition guidance;
- Exercise recommendations;
- Educational assistance;
- Conversational AI;
- Progress analysis;
- Recovery recommendations;
- Future AI-powered features.
3.3 "Applicable Law"
"Applicable Law" means all applicable laws, statutes, regulations, rules, governmental orders, judicial decisions, and legally binding requirements that apply to REPTOR LLC, the Services, or your use of the Services.
3.4 "Community"
"Community" means the social features of REPTOR OS that enable users to interact with one another.
Community features may include:
- Profiles;
- Posts;
- Comments;
- Messaging;
- Challenges;
- Groups;
- Leaderboards;
- Accountability partnerships;
- Rankings;
- Achievement sharing;
- Future social functionality.
3.5 "Content"
"Content" means all text, graphics, images, videos, audio, software, code, designs, layouts, user interfaces, documentation, educational materials, AI-generated responses, trademarks, logos, and other materials made available through the Services.
Content includes both REPTOR Content and User Content unless otherwise specified.
3.6 "Health & Fitness Data"
"Health & Fitness Data" means information voluntarily provided by a user relating to fitness, wellness, nutrition, exercise, physical activity, body measurements, performance, recovery, goals, or similar information used to personalize the Services.
Health & Fitness Data does not necessarily constitute Protected Health Information (PHI) under HIPAA.
3.7 "Personal Information"
"Personal Information" has the meaning assigned under applicable privacy laws and generally refers to information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked to an identifiable individual.
The collection and processing of Personal Information are governed by the REPTOR OS Privacy Policy.
3.8 "Premium Services"
"Premium Services" means subscription-based or paid features offered by REPTOR LLC that require payment or an active membership.
Premium Services may include:
- Advanced AI coaching;
- Personalized training programs;
- Premium educational content;
- Enhanced Community features;
- Additional analytics;
- Future paid functionality.
3.9 "REPTOR Content"
"REPTOR Content" means all Content owned by or licensed to REPTOR LLC, including:
- Software;
- Source code;
- User interface designs;
- Graphics;
- Logos;
- Trademarks;
- Videos;
- Educational materials;
- AI prompts;
- Workouts;
- Documentation;
- Branding;
- Platform design;
- Original written materials;
- Other proprietary materials.
REPTOR Content does not include User Content.
3.10 "REPTOR OS"
"REPTOR OS" means the digital fitness, wellness, and performance platform owned and operated by REPTOR LLC, including its website, Progressive Web Application (PWA), future mobile applications, APIs, software, AI-powered tools, Community features, and related Services.
3.11 "REPTOR LLC"
"REPTOR LLC," "REPTOR," "we," "our," and "us" refer to REPTOR LLC, a Florida limited liability company, together with its successors, affiliates, subsidiaries, authorized representatives, contractors, licensors, and service providers where applicable.
3.12 "R-XP"
"R-XP" means the proprietary rewards, recognition, engagement, and progression system offered through REPTOR OS.
Unless expressly stated otherwise, R-XP:
- Has no cash value;
- Is not legal tender;
- Is not transferable except where authorized;
- Does not constitute property;
- May be modified, suspended, or discontinued by REPTOR LLC in accordance with these Terms.
3.13 "Services"
"Services" means all products, software, applications, subscriptions, AI functionality, Community features, websites, educational resources, digital experiences, content, tools, technologies, and related offerings provided by REPTOR LLC through REPTOR OS.
The Services may change over time.
3.14 "Subscription"
"Subscription" means any recurring or one-time paid membership that grants access to Premium Services.
Subscriptions may include:
- Monthly memberships;
- Annual memberships;
- Family plans;
- Team plans;
- Promotional memberships;
- Enterprise offerings;
- Future subscription products.
3.15 "Terms"
"Terms" means these Terms of Service, including all policies, notices, and documents incorporated by reference.
3.16 "Third-Party Services"
"Third-Party Services" means products, software, platforms, websites, applications, APIs, infrastructure providers, payment processors, authentication providers, AI providers, analytics providers, or other services operated by entities other than REPTOR LLC that integrate with or support the Services.
3.17 "User"
"User," "you," and "your" refer to any individual or legal entity that accesses or uses the Services, whether or not an Account has been created.
3.18 "User Content"
"User Content" means any information, material, or content that a User uploads, submits, posts, transmits, creates, publishes, or otherwise makes available through the Services.
Examples include:
- Profile information;
- Workout logs;
- Nutrition logs;
- Messages;
- Community posts;
- Comments;
- Images;
- Videos;
- Progress photos;
- Reviews;
- Feedback;
- Challenge submissions;
- Other user-generated material.
Users retain ownership of their User Content subject to the licenses granted under these Terms.
3.19 Interpretation
Unless the context clearly requires otherwise:
- Singular terms include the plural, and plural terms include the singular;
- References to one gender include all genders;
- The words "including," "include," and similar terms mean "including without limitation";
- Headings are provided for convenience only and do not affect interpretation;
- References to laws include amendments, replacements, and successor legislation where applicable.
3.20 Updates to Definitions
REPTOR LLC may update or add definitions from time to time to reflect changes in the Services, technology, applicable law, or business operations.
Any material changes will become effective in accordance with the "Changes to the Terms" section of these Terms of Service.
These definitions apply throughout these Terms unless a different meaning is expressly provided in a specific section.
4. Description of Services
REPTOR OS is a digital fitness, wellness, and performance platform designed to help individuals improve their physical performance, health habits, and overall well-being through technology, artificial intelligence, educational content, and community engagement.
This section describes the nature of the Services provided by REPTOR LLC. It is intended to help users understand what REPTOR OS offers while reserving REPTOR LLC's flexibility to improve, modify, expand, or discontinue features as the platform evolves.

Results depend upon numerous factors outside the control of REPTOR LLC, including individual effort, consistency, health status, nutrition, genetics, recovery, and other personal circumstances.
4.14 Reservation of Rights
REPTOR LLC reserves the right to determine the features, functionality, availability, pricing, and operation of the Services at its sole discretion, subject to applicable law.
Nothing in these Terms shall be interpreted as creating an obligation to maintain any specific feature, technology, integration, subscription plan, or functionality indefinitely.
4.15 Acknowledgment
By using REPTOR OS, you acknowledge and agree that:

- AI-generated content may contain inaccuracies;
- Community participation is voluntary;
- Certain features require a paid subscription;
- Service availability cannot be guaranteed;

You further acknowledge that REPTOR LLC's goal is to continually improve the Services while providing a secure, innovative, and high-quality fitness and wellness platform for users around the world.
5. User Accounts
Certain features of REPTOR OS require you to create and maintain a registered user Account. This section governs the creation, maintenance, security, and management of your Account.
By creating an Account, you agree to comply with these Terms and to maintain accurate information throughout your use of the Services.
5.1 Account Registration
To access certain features of REPTOR OS, you may be required to register an Account.
During registration, you may be asked to provide information including:

- R-XP activity;
- Any actions taken using your credentials.
You agree to monitor your Account and promptly report any suspected unauthorized access.
5.3 Maintaining Accurate Information
You agree to keep your Account information accurate and up to date.
If your contact information changes, including your email address or other important account details, you must update your Account promptly.
Failure to maintain accurate information may affect your ability to receive important notices, recover your Account, or access certain features.
5.4 One Account Per Individual
Unless expressly authorized by REPTOR LLC, each individual may maintain only one personal Account.
You may not:
- Register duplicate Accounts;
- Create Accounts using false identities;
- Create Accounts for another person without authorization;
- Transfer your Account to another individual;
- Purchase or sell Accounts;
- Circumvent account restrictions by creating additional Accounts.
REPTOR LLC reserves the right to suspend, merge, or terminate duplicate or fraudulent Accounts.
5.5 Username Requirements
If you select a username, it must not:

By creating or maintaining an Account with REPTOR OS, you acknowledge that you are responsible for safeguarding your credentials, maintaining accurate account information, complying with these Terms, and using the Services in a lawful and responsible manner.
Your Account is personal to you and serves as the foundation for your interaction with REPTOR OS, including access to subscriptions, AI features, Community participation, achievements, and other platform functionality.
6. Account Security
REPTOR LLC is committed to maintaining a secure platform and implementing reasonable administrative, technical, and organizational safeguards to protect user Accounts and the Services. However, maintaining Account security is a shared responsibility between REPTOR LLC and each User.

You are solely responsible for maintaining the confidentiality and security of your Account credentials.

We are not responsible for overdraft charges, bank fees, or other charges imposed by financial institutions resulting from failed payment attempts.

If your payment information changes, you agree to promptly update:

- Expiration dates;

Users are responsible for managing recurring subscriptions through the applicable marketplace where required.
REPTOR LLC does not control the renewal systems operated by independent marketplaces.

Where a material change affects existing subscribers, REPTOR LLC will provide any notice required by applicable law before the change becomes effective.

- Your financial institution or payment provider,
as soon as reasonably possible.
REPTOR LLC may investigate suspected unauthorized transactions and cooperate with payment providers where appropriate.
11.7 App Marketplace Purchases
Subscriptions purchased through:
- Apple App Store;
- Google Play;
- Other authorized application marketplaces,
may be subject to the billing and refund policies of the applicable marketplace.
In many cases, REPTOR LLC cannot directly issue refunds for purchases processed entirely through third-party marketplaces.
Users should submit refund requests through the applicable marketplace where required.
11.8 Promotional Purchases
Purchases made using:
- Referral rewards;
- Ambassador discounts;
- Promotional pricing;
- Introductory offers;
- Coupon codes;
- Limited-time campaigns;
remain subject to the Refund Policy unless the applicable promotion expressly provides different refund terms.
11.9 Chargebacks
Before initiating a chargeback, users are encouraged to contact REPTOR Support so that we may attempt to resolve the issue directly.
Where permitted by applicable law, improper or fraudulent chargebacks may result in:

AI Services are provided to support lawful fitness, wellness, educational, and productivity purposes.
12.5 Community Conduct
When participating in Community features, you agree to:

- Communicate honestly;
- Avoid harassment or bullying;
- Respect differing viewpoints;
- Follow Community Guidelines;
- Avoid disruptive behavior;
- Report inappropriate conduct responsibly.
Community participation should contribute positively to the REPTOR OS community.
12.6 User Content
You must not upload, publish, transmit, or otherwise make available User Content that:
- Violates applicable law;
- Infringes intellectual property rights;
- Invades another person's privacy;
- Contains defamatory material;
- Contains obscene, sexually explicit, or exploitative content prohibited by applicable law;
- Promotes hate, discrimination, or violence;
- Contains malicious software;
- Encourages dangerous or unlawful conduct;
- Misrepresents facts in a fraudulent manner.
You remain solely responsible for all User Content you submit.
12.7 Commercial Activities
Unless expressly authorized in writing by REPTOR LLC, you may not use the Services to:
- Advertise products or services;
- Conduct unauthorized marketing;
- Send spam;
- Recruit users for unrelated services;
- Operate commercial bots;
- Sell user Accounts;
- Resell subscriptions;
- Operate unauthorized marketplaces.
Authorized partnership or ambassador programs are governed by their respective agreements.
12.8 Intellectual Property
You agree not to:
- Copy REPTOR Content except as expressly permitted;
- Remove copyright or trademark notices;
- Modify proprietary software;
- Redistribute proprietary materials without authorization;
- Create derivative works from REPTOR Content except where permitted;
- Misappropriate REPTOR trademarks or branding.
Your use of the Services does not grant ownership of REPTOR LLC intellectual property.
12.9 Automated Access
Unless expressly authorized by REPTOR LLC, you may not use:
- Bots;
- Crawlers;
- Scrapers;
- Automated scripts;
- Data harvesting tools;
- Artificial traffic generators;
- Automated account creation systems.
Reasonable automated access authorized through future APIs or written agreements is permitted only in accordance with the applicable documentation and agreements.

REPTOR LLC may investigate suspected violations of these Terms.
During an investigation, we may:
- Request additional information;
- Restrict access to certain features;
- Remove User Content;
- Suspend Accounts;
- Preserve evidence;
- Cooperate with law enforcement where required;
- Take other reasonable actions to protect the platform.
Nothing in this section obligates REPTOR LLC to monitor all user activity.
12.12 Enforcement
If REPTOR LLC reasonably determines that you have violated these Terms, we may take one or more actions, including:
- Issuing warnings;
- Removing User Content;
- Restricting Community participation;
- Suspending AI access;
- Suspending Premium features;
- Temporarily suspending your Account;
- Permanently terminating your Account;
- Revoking promotional benefits;
- Pursuing legal remedies where appropriate.
The enforcement action selected will depend on the nature, severity, frequency, and impact of the violation.
12.13 Reporting Violations
Users are encouraged to report suspected violations of these Terms, Community Guidelines, or applicable law through the reporting tools or support channels made available by REPTOR LLC.
Knowingly submitting false or malicious reports may itself constitute a violation of these Terms.
12.14 Reservation of Rights
REPTOR LLC reserves the right to determine, in its reasonable discretion and consistent with applicable law, whether conduct violates these Terms.
We may modify, expand, or clarify acceptable use requirements as the Services evolve, provided such modifications are implemented in accordance with the "Changes to the Terms" section of these Terms.

- You are responsible for your conduct while using the Services;

You further acknowledge that maintaining a safe, respectful, and trustworthy environment benefits all members of the REPTOR OS community and is essential to the continued operation and growth of the Services.
13. Community Rules
REPTOR OS is built to foster a positive, supportive, and performance-driven community where individuals can learn, grow, share experiences, and help one another achieve their fitness and wellness goals.
These Community Rules establish the standards of conduct expected from all users participating in Community features.
By participating in any Community feature, you agree to comply with these Community Rules, these Terms of Service, and all applicable laws.
13.1 Purpose of the Community
The REPTOR OS Community exists to:
- Encourage healthy lifestyles;
- Promote respectful discussion;
- Support learning and education;
- Foster accountability;
- Celebrate personal achievements;
- Build meaningful relationships;
- Inspire consistency and long-term progress.
Every user contributes to the quality and safety of the Community.
13.2 Respectful Conduct
Users must treat one another with respect and professionalism.
You agree not to:
- Harass other users;
- Threaten or intimidate others;
- Bully individuals or groups;
- Engage in personal attacks;
- Use abusive, hateful, discriminatory, or degrading language;

Constructive disagreement is permitted, but personal abuse is not.

However, users must not:

- Encourage unsafe exercise practices;

- Encourage eating disorders or harmful behaviors;
- Discourage users from seeking qualified medical care when appropriate.
Users remain responsible for evaluating information shared by others.
13.6 Privacy of Others
You must respect the privacy of other Community members.
You may not:
- Publish another person's personal information without permission;
- Share private messages without authorization;
- Doxx or identify anonymous users;
- Record or distribute private conversations without consent where prohibited by law;
- Encourage others to invade another user's privacy.

If direct messaging or similar communication tools are available, users must use them responsibly.
You may not use messaging features to:

REPTOR LLC may remove improperly earned rewards and take additional enforcement action where appropriate.

REPTOR LLC may moderate Community features using:
- Human moderators;
- Automated moderation technologies;

- Other reasonable moderation processes.
Moderation decisions are made to protect the Community and maintain the integrity of the Services.
REPTOR LLC is not obligated to review every post, message, or interaction.
13.14 Enforcement
If REPTOR LLC reasonably determines that a user has violated these Community Rules, we may take one or more actions, including:
- Issuing a warning;
- Removing content;
- Restricting Community privileges;
- Temporarily suspending messaging;
- Removing challenge participation;
- Revoking R-XP or rewards;
- Suspending the Account;
- Permanently terminating the Account;
- Pursuing legal remedies where appropriate.
The enforcement action selected will depend on the severity, frequency, and impact of the violation.
13.15 Positive Community Standards
We encourage Community members to:
- Support fellow users;
- Share constructive feedback;
- Celebrate progress;
- Encourage healthy habits;
- Respect different goals and abilities;
- Promote evidence-based information;
- Contribute positively to discussions.
The long-term success of the REPTOR OS Community depends upon respectful participation by all members.
13.16 Reservation of Rights
REPTOR LLC reserves the right to interpret, enforce, update, and modify these Community Rules as the platform evolves.
Community standards may be expanded or clarified over time to address new technologies, features, user behavior, legal requirements, or operational needs.
Material updates will become effective in accordance with the "Changes to the Terms" section of these Terms of Service.
13.17 Acknowledgment
By participating in the REPTOR OS Community, you acknowledge and agree that:
- Community participation is a privilege, not a right;
- You are responsible for your conduct and User Content;
- REPTOR LLC may moderate Community features to protect users and maintain platform integrity;
- Violations of these Community Rules may result in enforcement actions, including suspension or termination of your Account.
You further acknowledge that the REPTOR OS Community is intended to be a supportive, respectful, and motivating environment where individuals can safely pursue their fitness, wellness, and performance goals while encouraging the success of others.
14. User Content
REPTOR OS allows users to create, upload, publish, submit, transmit, store, and share various forms of content through the Services. This section governs ownership, responsibility, licensing, moderation, and the use of User Content.
By submitting User Content through REPTOR OS, you acknowledge and agree to the provisions of this section.
14.1 Definition of User Content
For purposes of these Terms, "User Content" means any content that you create, upload, submit, post, publish, transmit, or otherwise make available through the Services.
User Content may include, without limitation:
- Profile information;
- Profile photographs;
- Workout logs;

REPTOR LLC does not assume responsibility for User Content created by users.

AI-generated responses remain subject to these Terms.

The processing of Personal Information contained within AI interactions is governed by the Privacy Policy.
14.8 Feedback
If you voluntarily submit:

you grant REPTOR LLC a perpetual, irrevocable, worldwide, royalty-free license to use, modify, implement, publish, distribute, and otherwise exploit that feedback without compensation, acknowledgment, or further permission.
You are not obligated to provide feedback, and REPTOR LLC is not obligated to implement any suggestions.

User Content intentionally shared within public Community areas may continue to be visible to other users until removed from those areas.
Deleting an Account may not immediately remove copies of User Content that have been shared by other users, quoted in discussions, or retained in accordance with applicable law.

REPTOR LLC respects intellectual property rights.
If you believe User Content infringes your copyright or other intellectual property rights, you may submit a notice using the procedures described in the Copyright & DMCA section of these Terms.
We will review complaints in accordance with applicable law.

Submitting User Content does not obligate REPTOR LLC to:

- Preserve the content indefinitely;
- Continue making the content available;

You further acknowledge that responsible sharing of User Content helps maintain a safe, respectful, and engaging environment for all members of the REPTOR OS community while supporting the continued operation and improvement of the Services.
15. License to Use REPTOR OS
Subject to your continued compliance with these Terms of Service, REPTOR LLC grants you a limited license to access and use REPTOR OS for its intended personal or authorized business purposes.
This section explains the scope of that license, the ownership of the Services, and the restrictions that apply to your use of REPTOR OS.
Nothing in these Terms transfers ownership of the Services or any intellectual property rights to you.

25. Suspension & Termination
REPTOR LLC reserves the right to suspend, restrict, or terminate access to REPTOR OS when reasonably necessary to protect the Services, users, intellectual property, legal compliance, or the integrity of the platform.
This section explains the circumstances under which Accounts or Services may be suspended or terminated, your rights following termination, and the obligations that survive termination.

- Is free from inaccuracies.

- Secure;
- Timely;
- Reliable;

To the fullest extent permitted by applicable law, the REPTOR Parties shall not be liable for injuries, illnesses, damages, or losses arising from:
- Exercise participation;
- Workout recommendations;
- Nutrition information;
- Community advice;
- AI-generated fitness guidance;
- Improper exercise technique;
- User negligence;
- Equipment failures not controlled by REPTOR LLC;
- Independent medical conditions.
Nothing in this section limits liability that cannot legally be excluded.
27.6 Third-Party Services
The REPTOR Parties shall not be responsible for damages arising from:
- Third-party AI providers;
- Payment processors;
- Cloud hosting providers;
- Authentication providers;
- Wearable devices;

- Third-party software;
- Third-party content;
- Independent service interruptions.
Your relationship with third-party providers remains governed by their respective terms.

- User disputes;
- Offensive content;
- Inaccurate information posted by users.
Although REPTOR LLC may moderate Community content, we do not guarantee continuous monitoring of all user activity.
27.8 Technical Interruptions
The REPTOR Parties shall not be liable for losses arising from:
- Internet outages;
- Software defects;
- Server downtime;
- Maintenance periods;
- Cyberattacks;
- Data transmission failures;
- Platform interruptions;
- Infrastructure failures;
- Force majeure events.
REPTOR LLC uses commercially reasonable efforts to maintain platform reliability but cannot guarantee uninterrupted operation.
27.9 Data Loss
Although REPTOR LLC implements reasonable backup and security measures, users remain responsible for maintaining copies of information they consider important.
To the fullest extent permitted by applicable law, the REPTOR Parties shall not be liable for loss of data resulting from:
- User error;
- Third-party failures;
- Cybersecurity incidents;
- Software defects;
- System failures;
- Force majeure events.
27.10 Jurisdictional Limitations

27.14 Severability
If any portion of this Limitation of Liability is determined to be unenforceable under applicable law, the remaining provisions shall remain in full force and effect to the maximum extent permitted.

You further acknowledge that these limitations have been negotiated as part of the overall allocation of rights, responsibilities, and risks between you and REPTOR LLC and are intended to ensure the sustainable operation of REPTOR OS while respecting mandatory legal protections that cannot be waived.
28. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless REPTOR LLC and its affiliates, subsidiaries, parent companies, officers, directors, employees, contractors, licensors, service providers, ambassadors, agents, successors, and assigns (collectively, the "Indemnified Parties") from and against any claims, demands, actions, proceedings, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or relating to your use of REPTOR OS.
This section allocates responsibility for claims resulting from your conduct while using the Services.
28.1 Scope of Indemnification
You agree to indemnify the Indemnified Parties against claims arising from or relating to:

- Defamation;
- Fraud;
- Misrepresentation;
- Threats;
- Privacy violations;
- Other unlawful or prohibited conduct occurring within Community features.
Community participation remains your personal responsibility.
28.5 Referral and Promotional Activities
If you participate in:
- Referral programs;
- Ambassador programs;
- Affiliate programs;
- Creator programs;
- Promotional campaigns;
you agree to indemnify the Indemnified Parties for claims arising from your:
- Marketing activities;
- Promotional statements;
- Failure to comply with advertising laws;
- Misleading representations;
- Unauthorized use of REPTOR branding.
28.6 Fitness Activities
You acknowledge that you are solely responsible for your participation in physical activities.
Accordingly, you agree to indemnify the Indemnified Parties against claims arising from:
- Your exercise activities;
- Your implementation of workout recommendations;
- Your nutritional decisions;
- Your misuse of AI-generated fitness guidance;
- Your failure to consult qualified professionals where appropriate.
Nothing in this section limits liability that cannot legally be excluded.
28.7 Intellectual Property
You agree to indemnify the Indemnified Parties against claims arising from:
- Copyright infringement;
- Trademark infringement;
- Patent infringement;
- Trade secret violations;
- Unauthorized use of proprietary materials;
- Other intellectual property violations caused by your conduct.
28.8 Cooperation
If an indemnified claim arises, REPTOR LLC may:
- Notify you of the claim;
- Request reasonable cooperation;
- Request relevant information;
- Require assistance in defending the claim.
You agree to provide reasonable cooperation at your own expense where appropriate.
28.9 Control of Defense
REPTOR LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification.
If REPTOR LLC elects to do so:

- REPTOR LLC may assume control of the defense of indemnified claims while preserving your indemnification obligations.
You further acknowledge that the indemnification provisions contained in this section are intended to fairly allocate legal responsibility between you and REPTOR LLC while protecting the platform, its users, business partners, and intellectual property from losses caused by unlawful or improper conduct.
29. Governing Law & Dispute Resolution
This section governs the interpretation, enforcement, and resolution of disputes arising out of or relating to these Terms of Service, the Privacy Policy, the Refund Policy, your Account, or your use of REPTOR OS.
REPTOR LLC seeks to resolve disputes efficiently, fairly, and in a cost-effective manner whenever possible.
Nothing in this section limits rights that cannot legally be waived under applicable law.
29.1 Governing Law
These Terms, the Privacy Policy, the Refund Policy, and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
Where applicable federal law governs a particular issue, federal law shall apply.
29.2 Good Faith Resolution
Before initiating formal legal proceedings, both you and REPTOR LLC agree to make a good-faith effort to resolve any dispute informally.
A party seeking to resolve a dispute should first provide written notice describing:
- The nature of the dispute;
- Relevant facts;
- Supporting documentation where appropriate;
- The relief requested.
The parties agree to use reasonable efforts to resolve the matter through informal discussions before pursuing formal legal remedies, unless immediate legal action is reasonably necessary.
29.3 Binding Arbitration
Unless prohibited by applicable law or unless you validly opt out as described below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by final and binding arbitration rather than in court.
Arbitration shall:

- Filing an individual claim in a court of competent jurisdiction if the claim qualifies for small claims court under applicable law;

- Pursuing remedies that cannot legally be required to proceed through arbitration.

If you access the Services from outside the United States, you remain responsible for complying with the laws applicable to your jurisdiction.
Nothing in this section deprives consumers of mandatory legal protections available under the laws of their country of residence where such protections cannot lawfully be waived.
29.10 Opt-Out of Arbitration
Where required or permitted by applicable law, you may opt out of the binding arbitration provision by providing written notice to REPTOR LLC within thirty (30) days after first accepting these Terms.
Your opt-out notice must clearly state:
- Your full legal name;
- The email address associated with your REPTOR OS Account;
- A clear statement that you wish to opt out of the arbitration agreement.
Opting out of arbitration does not affect any other provision of these Terms.
